Article 2 The China Medical Association (hereinafter referred to as the Association) is an academic, public welfare and non-profit legal person association voluntarily formed by medical and health science and technology workers all over the country. It is the bridge and link between the party and the government to contact medical and health science and technology workers and medical and health enterprises and institutions; It is an important social force to promote the development of medical and health undertakings.
Article 3 The purpose of this Association is to actively promote international exchanges between medical and health institutions in China and non-governmental organizations and individuals from all over the world based on the principles of friendly cooperation, equality and mutual benefit. Abide by the national constitution, laws and regulations, adhere to the policy of reform and opening up, unite national medical and health care scientific and technological personnel and medical and health care enterprises and institutions, carry forward traditional and modern medical and health care methods in China, push the precious health care culture of the Chinese nation to the world, improve the physical quality and health level of China people and even human species, and serve the four modernizations of the motherland.
Article 4 This Association accepts the professional guidance and supervision of the Ministry of Health and the Ministry of Civil Affairs of the People's Republic of China. Accustomed to the national health policy. Carry forward academic democracy, seek truth from facts, combine popularization with improvement, strengthen international exchanges and cooperation, and promote the healthy development of medical and health undertakings.
Article 5 The meeting place of this Association is located at No.41Gulou West Street, Xicheng District, Beijing.
Chapter II Scope of Business
Article 6 The business scope of this Association
First, excavate and sort out the traditional health care cultural heritage, organize health care cultural exchange activities at home and abroad, edit and publish health care periodicals and monographs, and enrich the treasure house of Chinese national health care culture.
Two, provide information, technology, scientific research and patent achievements for medical and health enterprises, cultivate, coordinate and promote the healthy development of medical and health undertakings.
Three, under the guidance of relevant departments to carry out domestic and foreign medical and health academic exchange activities and continuing medical education, and constantly improve the level of medical and health science and technology.

Chapter III Members
Article 7 Anyone who recognizes that the Articles of Association meet the requirements for membership may apply for membership. The association has members, expert members, group members and honorary members.
Article 8 Various membership conditions

1. graduated from a medical college and obtained the corresponding technical title (qualification);
2. Persons who have not graduated from medical colleges but are engaged in medical care-related work;
3. People who actively support the work of the Association and work in this professional field;
4. Members of other scientific and technological societies or organizations that meet the above conditions may apply to become members of the Association.

Members of our association who have worked in our college for more than five years and achieved certain results may apply to become members of our college.
Third, group members.
Organizations and enterprises that are willing to participate in the activities of the association, support the articles of association, support the work of the association, are related to the specialty of the association, have a certain influence on the business (industry and discipline) of the group, and have a certain number of scientific and technological personnel.

Article 9 Procedures for examination and approval of membership
Individual membership is applied by myself, introduced by two members of the association or recommended by the unit. According to the association's articles of association, it was reviewed and approved by the China Medical Promotion Association, and the certification was issued by a unified number.
Specialist members shall be examined and approved by the specialist branch in accordance with the articles of association of the association and reported to the association for the record;
Members apply to the Association, which is approved by the Council or the Standing Council of the Association; Honorary members are recommended by the Institute, nominated by the Association, and awarded certificates by the Association with the approval of the Standing Council.
Article 10 Rights and obligations of members.

Article 11 The Association issues membership cards to all kinds of members.
Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in group activities within one year, it will be deemed as automatic withdrawal. We can no longer carry out activities in the name of our members.
Thirteenth members who seriously violate the articles of association shall be removed from the list after being studied and approved by the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the National Congress of its members, and its functions and powers are as follows
1. Formulate and modify the articles of association of this Association;
2. Election and removal of directors;
Three. To examine and approve the work report and financial report of the Council;
4. Decide on the working principles and tasks of the Association;

Fifteenth members' congress can only be held when more than two thirds of the delegates are present, and its resolutions can only take effect when more than half of the delegates present vote.
Article 16 The term of office of the general meeting is five years. If it is necessary to advance or postpone the term of office due to special circumstances, it must be approved by the board of directors. And approved by the competent business unit and the competent registration authority. But the extension period shall not exceed one year at most.
Article 17 The Council is the executive body of the members' congress, which leads the group to carry out its daily work during the intersessional period and is responsible to the members' congress.
Article 18 Functions and powers of the Council
First, the implementation of the resolutions of the member congresses;

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 20 The Council shall convene a meeting at least once a year, and in case of special circumstances, it may also be convened in the form of communication.
Article 21 The Association shall set up a standing council, which shall be elected by the council and exercise the powers of the council to its members when the council is not in session (except the second paragraph).
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolution shall take effect only when it is approved by two-thirds of the representatives present.
Article 23 The Standing Council shall be convened once every quarter in principle, and may be convened in advance or postponed if necessary, or in the form of communication under special circumstances.
Twenty-fourth president, vice president and secretary general must meet the following conditions
First, adhere to the party's line, principles and policies and good political quality;
Second, it has great influence in the business field of the Group;
Three, the president, vice president and secretary general of the highest position, the age of not more than 70 years old, the secretary general is full-time;

Article 25 The Secretary-General of an association who is over the prescribed age shall be discussed and approved by the board of directors, submitted to the competent business department for examination and approval, and approved by the registration authority of the association before taking office.
Article 26 The President, Vice-President and Secretary-General of the Association shall be elected by the Standing Council. The Secretary-General is nominated by the Chairman and approved by the Council. The term of office is five years, and the maximum term of office shall not exceed two terms. If it is necessary to extend the term of office for special reasons, it shall be approved by more than two-thirds of the members' congress and reported to the competent department for examination and approval before taking office.
Article 27 The Secretary-General of the Association shall be the legal representative of the Association, and he shall not take up his post until he is approved by the competent business unit and the registration and administration organ of the Association. The legal representative of this Association cannot concurrently serve as the legal representative of other organizations.
Article 28 The president shall exercise the following functions and powers
1. Preside over and convene general meetings, councils and standing councils;

Article 29 The Secretary-General shall exercise the following functions and powers
I. Preside over the daily work of the office and organize the implementation of the annual work plan;

3. Nominate the Deputy Secretary-General and the principal responsible persons of their subordinate institutions and submit them to the Standing Council for decision;
Four, decided to hire full-time office staff;
5. Handle other daily affairs.
Article 30 The Association shall have honorary directors. People who have made outstanding contributions to the Association, people at home and abroad who actively sponsor and support the Association, or heads of enterprises and institutions may be employed as honorary directors of the Association until the next congress.
Article 31 The Association shall, with the approval of the Standing Committee, set up professional committees according to different disciplines or specialties. The official name of the professional committee is China Health Care International Exchange Promotion Association, which shall be put on record by the association and submitted to the competent department for examination and approval. Professional committees do not have separate articles of association, and each term is three years.
Article 32 The Association shall set up a number of full-time staff to organize office work as required.
Article 33 The establishment of branches may refer to the provisions of the articles of association of this Association and accept the guidance of this Association, and the organization of activities must be reported to this Association for examination and approval before activities can be carried out.
Chapter V Principles of Asset Management and Use
Article 34 Sources of funds of the Association
1. membership fee;

Article 35 The source of funds of this Association must be legal, and its funds must be used for the development of this Association's cause and shall not be distributed among its members.
Article 36 An association shall be equipped with full-time accountants and accept the supervision of relevant departments. When the accounting personnel are transferred, they must go through the handover procedures with the receiving party.
Article 37 The asset management of this Association shall implement the financial management system stipulated by the state, ensure the legality, truthfulness, accuracy and completeness of accounting information, accept the supervision of the general meeting of members and the financial department, and report to the Standing Council regularly.
Article 38 Before a group changes or changes its legal person, it must accept the financial audit organized by the registration authority of the association and the competent business unit.
Article 39 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Fortieth the wages and insurance benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 41 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 42 The revised Articles of Association shall come into effect within 15 days after it is adopted by the members' congress, reviewed and agreed by the competent business authorities, and reported to the registration authority of the Association for approval.
Chapter VII Emblem
Article 43 The emblem consists of two concentric circles, the inner ring is a three-dimensional satellite cloud picture, the blue sky and white clouds symbolize the world, the middle is a topographic map of China representing China, and the golden snake stick is an international medical and health symbol.
The China Medical Care Association for the Promotion of International Exchanges is printed in black between the inner ring and the outer ring, with red English letters at the bottom: CPAM stands for the English abbreviation of China Medical Association.
The overall figures highlight the international exchanges and cooperation between China Medical Care International Exchange Promotion Association and the international community in the development of medical care.
Chapter VIII Termination Procedure and Property Disposal after Termination
Article 44 The termination of this Association shall be proposed by the Council, approved by more than two-thirds of the members' congresses, and approved by the competent business department, and the cancellation procedures shall be handled with the registration authority.
Article 45 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business department and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. No activities other than liquidation shall be carried out during the liquidation period.
Article 46 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business departments and registration authorities in accordance with relevant state regulations.
Chapter IX Supplementary Provisions
Article 47 The Association was approved by the third member congress and reported to the Ministry of Health and the Ministry of Civil Affairs for the record.
Article 48 The right to interpret the Articles of Association belongs to the Council.
Article 49 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
