Chapter I General Principles
Article 1 The Chinese name of the Association is Guangdong Wedding Industry Association, and the English name is "Guangdong Wedding Industry Association", referred to as "GDWTA".
Article 2 Nature of the Association: Guangdong Province is a non-profit industrial social organization with legal person status, which voluntarily engages in research and development, production, management, service and publicity of wedding culture, wedding service, wedding supplies, wedding utensils, wedding customs, wedding photo studio, wedding celebration, wedding matchmaking tourism and wedding industry.
Article 3 The purpose of this Association: to advocate the new concept of wedding, publicize and implement the national laws, regulations, principles and policies related to the wedding industry, integrate and optimize the resources of the wedding industry, explore and promote the excellent traditional wedding custom culture of the Chinese nation, advocate advanced wedding culture, promote the development of the wedding industry, provide industry services, standardize industry behavior, ensure fair competition, safeguard industry rights and interests, realize industry self-discipline, improve industry level, enhance industry competitiveness, promote industry development, and give full play to the social and economic benefits of the wedding industry.
Article 4 This Association accepts the supervision and management of Guangdong Provincial Administration of Non-governmental Organizations, the registration authority of associations and the professional guidance of relevant functional departments of Guangdong Provincial People's Government.
Article 5 The activity area of this Association is Guangdong Province.
Article 6 Office of the Association: Guangzhou City, Guangdong Province.
Chapter II Scope of Business
Article 7 The business scope of this Association:
(1) Study, publicize and implement national laws, regulations, principles and policies related to the wedding industry, advocate civilized and advanced wedding culture, abide by social ethics, play a role as a bridge and link between the government and the wedding industry, strengthen exchanges and cooperation among members, strive to maximize the benefits of the integration and optimization of wedding industry resources, improve the market competitiveness of the wedding industry, and build an industrial chain of the wedding industry;
(two) to formulate the industry standards and norms of the wedding industry, establish and improve the rules and regulations of the wedding industry, standardize the wedding industry, improve the self-discipline of the industry, and safeguard the overall interests of the industry;
(3) to carry out publicity, knowledge popularization, psychological consultation and services on civilized, healthy and fashionable wedding etiquette, wedding customs, wedding banquets and matchmaking tours, advocate civilized, healthy and fashionable wedding modes, and hold leading and demonstrative wedding activities or related activities;
(four) to guide and supervise the operation of the wedding market in Guangdong, advocate the formation of fair, open and just benign competition, and promote the healthy and orderly development of the wedding industry;
(5) Organize the collection, collation, research and publication of wedding cultural materials, publicize and promote the cultural characteristics of Guangdong wedding customs, and build a cultural brand of Guangdong wedding customs.
(six) to carry out the service certification of the wedding industry, register the wedding industry institutions and products, provide product services and consulting services for the wedding industry institutions, enterprises and members, and establish wedding industry service systems such as wedding institutions and product evaluation and certification service systems and expert consulting service systems;
(7) Organizing exhibitions, exhibitions, fairs and other activities in the wedding industry, promoting wedding products that meet industry standards, promoting civilized, healthy and fashionable wedding services, conducting academic and business visits and exchanges and cooperation with the same industry or cross-industry at home and abroad, promoting the import and export trade of wedding products and services, and promoting the internationalization of the wedding industry;
(eight) according to the needs of the development of the industry, the preparation of relevant training materials and books, to carry out professional training and assessment of the wedding industry, to explore outstanding talents in the industry, to strengthen the overall construction of the team, and to improve the overall quality of the wedding industry team;
(9) Authorized by law and entrusted by the government, the Association carries out industry statistical analysis, industry information release, public trust certification, price coordination, and industry access qualification examination. Compile periodicals, establish a platform for information consultation and service trading in wedding industry, provide information trends, carry out interaction and mutual assistance, and provide convenient services such as online inquiry, online service and online trading;
(ten) to carry out the investigation and theoretical research activities of the wedding industry, grasp the current situation, problems, difficulties, laws and development trends of the wedding industry in a timely manner, and reflect the situation, opinions and suggestions to the relevant government departments on behalf of the industry;
(11) To safeguard the legitimate rights and interests of the wedding industry and its members, coordinate major disputes involving the wedding industry among members, between members and non-members, between members and consumers, between this industry association and other industry associations, and between this industry association and other organizations, or disputes that this association thinks need to be coordinated, participate in collective consultations on behalf of this industry, and put forward opinions or suggestions involving the interests of this industry;
(twelve) to carry out the wedding industry appraisal, recognition and promotion activities, to create advanced, brand, and promote the sound and rapid development of the wedding industry.
Chapter III Members
Article 8 The members of this Association are economic organizations in this industry.
Article 9 A member applying to join this Association must meet the following requirements:
(a) support the articles of association;
(2) Having the will to join this Association;
(3) Having a certain influence in this industry;
(four) should hold a business license and other relevant documents.
Article 10 The membership procedure is:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) The application for payment of membership fees shall be made by this Association;
(4) The membership card shall be issued by the Council or an institution authorized by the Council.
Article 11 Members shall enjoy the following rights:
(a) to attend the general meeting (or congress), participate in the activities of the association, and accept the services provided by the association;
(two) the right to vote, to be elected and to vote;
(three) to obtain the priority of our services;
(four) the right to put forward suggestions, opinions and supervision on the work of this association;
(5) Freedom of voluntary membership and withdrawal;
(6) Other rights stipulated in the articles of association.
Article 12 Members shall perform the following obligations:
(1) Abide by the articles of association;
(2) Implementing the resolutions of the Council;
(3) Paying membership fees according to regulations;
(four) to safeguard the legitimate rights and interests of associations and industries;
(five) to complete the work assigned by the association;
(6) Report the situation to this Council and provide relevant information.
Article 13 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. Members 1 year who fail to pay their membership dues or participate in the activities of this association are deemed to have withdrawn automatically.
Fourteenth members who do not abide by the articles of association shall be criticized and educated by the association; If there is a serious violation of the articles of association, it will be removed from the membership meeting (or member representative meeting) by voting.
Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge
Article 15 An association consists of a general meeting (or a representative meeting). The general assembly (or representative assembly) is the highest authority of the trade association, and exercises its functions and powers in accordance with national laws, regulations and the articles of association of the trade association.
Article 16 The general assembly (or representative assembly) shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;
(two) to elect or recall the president, executive vice president, vice president, secretary general (appointment system), executive director, director and supervisor; (The election was held by secret ballot)
(3) To review the annual work report and annual financial budget and final accounts plan of the board of directors and the board of supervisors (supervisors);
(four) to consider the recommendations of the Council on the recall of members;
(five) to make resolutions on the alteration, dissolution and liquidation of the association;
(six) to change or cancel the inappropriate decisions of the Council;
(seven) to formulate or amend the articles of association and election methods of the organization;
(8) Deciding to terminate.
(9) Deciding on other major matters.
Article 17 The term of office of a general meeting (or representative meeting) is five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members (or congress) shall be held at least once every two years. If the Council deems it necessary or more than one-fifth of the members propose, an interim general meeting (or congress) may be held.
Eighteenth general meeting (or representative meeting) must be attended by more than two thirds of the members (or representative meeting); Its resolution must be passed by more than half of all members (member representatives).
The general assembly (or representative assembly) shall make minutes of the decisions on the matters discussed and make an announcement to the members.
Article 19 The Association shall have a Council. The board of directors is the permanent body of the general assembly (or congress). When the general assembly (or congress) is not in session, it performs its duties according to the resolutions and articles of association of the general assembly (or congress).
Article 20 The functions and powers of the Council are:
(1) Preparing and convening the general meeting of members (or the general meeting of members' representatives);
(two) to implement the resolutions of the general assembly (or congress) and report to the general assembly (or congress);
(three) to decide on the specific annual work of the association;
(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;
(five) to formulate plans for increasing or decreasing the registered capital of the Association;
(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;
(seven) to decide on the membership of the new applicant and the punishment of the member, and put forward the proposal of removing the member;
(eight) to decide the main person in charge of the branch of the association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;
(nine) to formulate the internal management system of the association;
(ten) other matters stipulated in the articles of association.
Article 21 The board of directors shall convene a meeting at least once every six months (under special circumstances, it may also be convened by means of communication). The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the Council shall be convened and presided over by the President; When the president is unable to perform his duties due to special reasons, the president shall entrust the executive vice president (vice president) or the secretary general to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 22 Where the number of directors exceeds 50, an executive director may be elected from among the directors as required, and a standing council shall be established, which shall be responsible to the board of directors. The Standing Council consists of the President, the Executive Vice President, the Vice President and the Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, fourth, fifth, sixth, seventh, eighth and ninth functions and powers stipulated in Article 21 of the Articles of Association. The Permanent Council shall meet at least once every three months; (Special circumstances can also be held in the form of communication). A resolution made by the Standing Council must be passed by more than half of the standing directors.
The Standing Council shall make minutes of the decisions on the matters discussed.
Article 23 Rules and procedures for the establishment of branches and representative offices of this Association:
(1) The secretariat of the trade association shall put forward a specific plan for setting up branches;
(two) submit the specific plan to the president's office meeting for discussion and adoption;
(3) Submit the adopted specific plan to the Council for deliberation and approval.
(four) reported to the social organization registration authority for examination and approval.
Article 24 The Association shall have a board of supervisors (or 1 to 3 supervisors), which shall be elected by the general meeting (or congress). The term of office of the board of supervisors (or supervisors) is the same as that of the board of directors, and may be re-elected upon expiration.
The president, executive vice-president, vice-president, executive director, director and secretary-general shall not concurrently serve as supervisors.
Article 25 The president, executive vice president, vice president, secretary general and supervisor of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;
(2) It has great influence in this industry;
(3) The president, executive vice president, vice president and secretary general shall not be over 70 years old, and the secretary general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not received criminal punishment;
(6) Having full capacity for civil conduct.
Article 26 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.
Article 27 The Association shall have one president, several executive vice presidents and several vice presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.
Article 28 The term of office of the President, Executive Vice President, Vice President and Secretary General of this Association is five years, and the term of office may not exceed two consecutive terms.
Article 29 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the meeting of the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the general assembly (or representative assembly) and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of the Association.
Article 30 The executive vice president, vice president and secretary general of the Association shall work under the leadership of the president, and the secretary general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;
(3) Coordinating the work of branches, representative offices and entities;
(4) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;
(6) Handling other daily affairs.
The Secretary-General shall attend meetings of the Council and the Standing Council.
Article 31 The board of supervisors (or supervisors) shall exercise the following functions and powers:
(a) to report the annual work to the general assembly (or representative assembly).
(two) to supervise the election and recall of the general assembly (or congress) and the Council or the Standing Council; Supervise the Council or the Standing Council to implement the resolutions of the general assembly (or the general assembly).
(three) to check the financial status and accounting information of the association, and report the situation to the registration authority and the competent tax and accounting departments.
(4) Supervisors attend board meetings as nonvoting delegates, or the standing board has the right to put forward questions and suggestions to the board.
(five) to supervise the compliance of the Council or the Standing Council with laws and regulations. When the president, executive vice-president, vice-president, executive director, director and secretary-general do harm to the interests of the association, they are required to correct them and report to the members' congress or relevant government departments when necessary.
The board of supervisors (or supervisors) shall abide by the relevant laws and regulations and the articles of association of the association, accept the leadership of the general meeting (or representative meeting), and earnestly perform their duties.
Chapter V Principles of Asset Management and Use
Article 32 The sources of funds of this Association are:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 33 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.
Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 34 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 35 If the president, executive vice-president, vice-president, executive director, director, supervisor, secretary-general and staff privately divide, occupy or misappropriate the property of the Association, they shall be returned and reviewed by the general meeting (member representative meeting); If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 36 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.
The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.
Article 37 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 38 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting (or representative meeting) and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 39 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.
Article 40 An association shall, in accordance with the Regulations of Guangdong Province on Trade Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.
Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.
Article 41 The full-time staff of this Association shall be engaged in a full-time appointment system, openly recruited to the public, and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.
Chapter VI Procedures for Amending the Articles of Association
Forty-second amendments to the articles of association of this association must be approved by the Council or the Standing Council, and then submitted to the general meeting (or representative meeting) for deliberation.
Article 43 Any amendment to the Articles of Association must be approved by the general meeting of members (or representative meeting of members).
It will take effect within 30 days after it is adopted by the General Assembly and approved by the registration authority.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 44 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:
(a) to complete the purpose stipulated in the articles of association;
(2) The general assembly (or representative assembly) resolves to dissolve;
(3) Division or merger of the association;
(four) unable to continue to work in accordance with the purpose of the articles of association.
Article 45 The motion to terminate the association shall be passed by the general meeting of members (or the general meeting of members' representatives) and submitted to the registration and administration organ of the association for examination and approval.
Forty-sixth before the termination of this association, a liquidation organization must be established under the guidance of the association registration authority and relevant units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall go through the cancellation procedures with the registration authority within 15 days after the liquidation.
Article 47 An association shall be terminated after its registration is cancelled by the association registration authority.
Article 48 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 49 The Articles of Association was adopted by the shareholders' meeting (or representative meeting) on July 25th, 2008.
Article 50 The right to interpret these Articles of Association belongs to the Council of this Association.
Article 51 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
