Chapter II Tasks, Scope of Business and Principles of Activities

Article 8
The principles of our activities:
(1) The Association shall carry out activities in accordance with the approved articles of association, abide by relevant laws, regulations, rules and policies, and abide by social ethics;

Article 10
The membership procedure is:

Article 12

Article 13
Members who withdraw from the meeting shall notify the Association in writing and return their membership cards.
If a member fails to pay the membership fee or participate in the activities of the association for no reason within one year, it will be regarded as automatic withdrawal.
Article 14
If a member seriously violates the national laws, regulations or the articles of association of this Association, he/she shall be removed from the membership and publicized after being voted by the Council. If a member refuses to accept the delisting decision of the Council, he may lodge a complaint, which will be answered by the Council and submitted to the general meeting of members for consideration when necessary.
Chapter IV Organizational Structure
Article 15
The highest authority of this association is the general meeting of members.
The functions and powers of the General Assembly are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Article 16
The general meeting of members is held once a year. A general meeting of members shall be convened only when more than two thirds of the members are present, and its resolutions shall take effect only when more than two thirds of the members are present and vote.
Article 17
The congress is held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the Council, reported to the Shanghai Municipal Commission of Commerce for review and approved by the Municipal Association Administration. However, the term of office shall not be extended for more than one year.
Article 18
The association has a board of directors, which is the executive body of the general assembly, leading the association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.
Article 19
The functions and powers of the Council are:
(a) Implementing the resolutions of the General Assembly;
(2) Electing and dismissing principals and vice principals;
(3) Convening a general meeting of members and reporting their work and financial status to the general meeting;
(4) To decide on the recall of members;
(5) Deciding to establish branches, representative offices and entity institutions;
(six) to decide on the appointment and removal of the principal responsible persons of branches, representative offices and units;
(7) To decide on the appointment and removal of the Secretary-General on the nomination of the President;
(eight) according to the nomination of the Secretary General, to decide the appointment and removal of the Deputy Secretary General;
(nine) to lead the work of various institutions;
(ten) to formulate and improve the financial management system;
(eleven) to decide on other major issues.
Article 20
Board meetings can only be held when more than two thirds of the directors are present; The resolution of the board of directors shall be valid only if it is approved by more than two-thirds of the directors present at the meeting.
The board of directors shall hold a meeting at least once a year, and it may be held at any time under special circumstances.
The meeting of the board of directors shall be convened and presided over by the president.
There are13 directors who propose that a board meeting must be held. If the chairman is unable to convene the meeting, the proposing director may elect the convener.
When convening a board meeting, the president or convener shall notify all directors 3 days in advance.
The board meeting shall be attended by the directors themselves. If a director is unable to attend for some reason, he may entrust other directors to attend in writing, and the authorization shall be specified in the power of attorney.
Other directors must be elected by the general meeting of shareholders. Under special circumstances, the board of directors may hold a by-election, but the by-election of directors shall be confirmed by the next general meeting of shareholders.
Article 21
The president and vice president of the Association must meet the following requirements:
(a) has a greater impact in the industry;
(2) The maximum working age is no more than 70 years old;
(3) Being in good health and able to stick to normal work;
(4) Having not been subjected to criminal punishment of deprivation of political rights;
(5) Having full capacity for civil conduct.
In any of the following circumstances, he shall not serve as the president, vice president, director or secretary general of the association:
(1) Being sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, and the execution has not been completed for more than five years;
(2) Being sentenced to deprivation of political rights due to a crime, being executed or being sentenced to deprivation of political rights;
(3) Being the person in charge of a social organization whose registration has been cancelled due to violation of laws, and being personally responsible for the illegal acts of the social organization, and less than 5 years have passed since the date of cancellation of the social organization;
(4) Not having full capacity for civil conduct.
Article 22
The term of office of the president and vice president of the association is four years, and the term of office of the president is generally not more than two. If it is necessary to be re-elected due to special circumstances, it shall be approved by the board of directors, reported to the competent business unit for review, and approved by the registration authority before taking office.
Article 23
The president of this Association is the legal representative of this Association.
The legal representative of the association has no current public office in state organs and has good personal credit.
The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.
Article 24
The President of the Association shall exercise the following powers:
Convene and preside over the Council;
Check the implementation of various meetings of the Association;
Sign relevant important documents on behalf of this Council;
Article 25
The secretariat of the association is the daily office of the Council, and the secretary-general presides over the daily work of the secretariat. Their qualifications refer to Article 2 1, and generally they should be full-time. The staff of the Secretariat shall be full-time, and the personnel distribution system and social security system shall be implemented in accordance with the relevant provisions of this Municipality.
Article 26
The Secretary-General of the Association accepts the leadership of the Council and strictly implements the resolutions of the General Assembly and the Council.
Its main responsibilities are:
(1) Preside over the daily work of the Secretariat, strictly implement the financial management system adopted by the Council, and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the heads of branches, representative offices and entities and submitting them to the Council for decision;
(four) to decide on the appointment and dismissal of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
(six) according to the need to add liaison, consulting and other institutions to deal with daily routine work. The establishment of an internal institution shall be reported to the business director for examination and approval, and shall be filed with the registration authority.
Article 27
The general meeting and Council of the Association may vote by secret ballot or by raising hands.
The above-mentioned meeting shall have meeting minutes, and the resolutions of the meeting shall form meeting minutes.
Chapter V Principles of Asset Management and Use
Article 28
Sources of funds for the Association:
(1) membership fees;
(2) donation;
(three) to undertake the funding entrusted by government departments;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 29
The funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.
Article 30
The Association has established a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 31
The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 32
The asset management of this association strictly implements the financial management system stipulated by the state and accepts the supervision of the general meeting of members and the financial department. Where the source of assets belongs to state grants or social donations or subsidies, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.
No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 33
Before the association changes its legal representative, it shall engage a professional audit firm to conduct an audit and issue an audit report.
Chapter VI Procedures for Amending the Articles of Association
Article 34
Amendments to the articles of association of this association shall be submitted to the general meeting of members for voting after deliberation by the Council.
Article 35
The revised articles of association shall be submitted to the Shanghai Municipal Commission of Commerce for review within 15 days after the adoption of the general meeting of members, and then sent to the Municipal Association Bureau.
Chapter VII Termination and Procedure and Disposal of Property after Cancellation
Article 36
If the association needs to be cancelled due to the completion of the purpose stipulated in the articles of association, its own dissolution or division or merger, the Council shall propose a resolution to terminate it.
Article 37
The termination proposal must be voted by the general meeting of members and submitted to the Shanghai Municipal Commission of Commerce for approval.
Article 38
Before the termination of this association, a liquidation working group shall be established under the competent business unit and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 39
The association is terminated after the cancellation of registration by the Municipal Association Administration.
Article 40
The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the Municipal Association Administration in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 41
The Articles of Association was adopted by voting at the third general meeting of shareholders in February 2009, 65438+2 1.
Article 42
The right to interpret the Articles of Association belongs to the Council of the Association.
Article 43
The Articles of Association shall come into effect as of the date of approval by the Municipal Association Administration.
