Chapter 1 General Provisions

Article 1 The English translation of the Chinese Anatomical Society (hereinafter referred to as the Society) is: Chinese Society for Anatomical Sciences, and the English abbreviation is: CSAS.

Article 2: This association is a national academic organization under the leadership of the Communist Party of China. It is composed of researchers engaged in anatomy (including anthropology, cytology, embryology, histology, neuroanatomy, Human anatomy, tomographic anatomy, comparative anatomy, clinical anatomy and regenerative medicine) is an academic, popular science, non-profit legal person social group registered in accordance with the law and voluntarily formed by scientific and technological workers. It is a member of the China Association for Science and Technology The component is the link and bridge between the party and the government and the anatomy science and technology workers, and is an important social force in developing my country's anatomy science and technology cause.

Article 4 The Society is affiliated with the Ministry of Health of the People’s Republic of China and accepts the business guidance and supervision from the China Association for Science and Technology, the business supervisory unit, and the Ministry of Civil Affairs, the organization registration and management authority.

Chapter 2 Business Scope

Article 6 Business Scope of the Association:

To carry out scientific and technological academic exchanges in the anatomy discipline at home and abroad, and to promote the development of the anatomy discipline ;Popularize the knowledge of anatomical science and technology, disseminate the spirit, ideas and methods of anatomical science, and promote advanced technology;

5. Participate in the formulation of national anatomy teaching and science and technology policies, science and technology development strategies, relevant laws and regulations, and scientific decision-making;

6. Make major decisions involving anatomy science and technology in national economic construction. Conduct scientific demonstrations and technical consultations, and put forward policy recommendations;

7. Accept commissions from the government and the China Association for Science and Technology to evaluate anatomical science and technology projects, identify scientific and technological achievements, review technical job qualifications, organize and hold anatomical science and technology exhibitions, and scientific and technological documents and standard editing and review, providing anatomical technical consultation and technical services;

8. Promote international scientific and technological cooperation in the field of folk anatomical science and technology;

Chapter 3 Members

Article 7 The association has individual members, group members and foreign members; individual members are the main body of the association.

Article 8 Anyone who supports the association’s charter, has the intention to join the association, or has a certain level in the group’s subject area can voluntarily apply for membership. The specific conditions are as follows:

< p>One person member: ⑴ Scientific and technological personnel with the titles of assistant researcher, lecturer, attending physician and chief technician or above; ⑵ Scientific and technological personnel with a master's degree or above; ⑶ Management workers who enthusiastically and actively support the work of the society and have corresponding professional knowledge; ⑷Chinese scientific and technological personnel who have settled abroad and in Hong Kong and Macao and meet the above conditions can apply for membership.

Second group members: All scientific research, teaching, production, design and other enterprises and institutions that are related to the society (or professional) disciplines, have a certain number of scientific and technological personnel, and are willing to participate in related activities of the society and support the work of the society And relevant academic social groups established in accordance with the law can apply for group membership.

3 Foreign members: Foreign scientific and technological workers who have high academic achievements, are friendly to our country, and are willing to participate in society activities, exchanges and cooperation.

Article 9 Membership procedures:

One-person membership: a written application must be submitted by myself, introduced by two members, or recommended by the provincial society where the member is located, or by me Candidates can become members of the Society only if they are recommended by the society's secondary organizations (professional committees and working committees) and submitted to the Society's Standing Council for approval.

2 Group membership: A written application from the unit must be submitted, introduced by two directors of the association, and approved by the standing committee of the association before becoming a group member of the association.

3. Foreign members: Submit a written application, which will be introduced by two directors or standing directors. After approval by the standing committee, and submitted to the China Association for Science and Technology for approval and filing, you can become a member of the society.

Article 10 Rights enjoyed by members:

A single member: ⑴Has the right to elect, be elected and vote; ⑵Have the right to suggest, criticize, supervise and be informed about the work of the society ⑶ Priority in participating in academic conferences and related academic activities of the society; ⑷ Priority in obtaining relevant academic materials of the society; ⑸ Participation in the selection of outstanding papers and award activities organized by the association. ⑹ Participate in overseas visits, inspections, international conferences, further studies abroad or joining international academic organizations organized by the Association. ⑺ Membership is voluntary and withdrawal is free.

Second group members: ⑴ give priority to participating in relevant activities of the society; ⑵ give priority to obtain relevant academic materials of the society; ⑶ can request the society to give priority to technical consultation; ⑷ can request the society to assist in organizing training courses, etc.; ⑸ assist in carrying out Relevant academic and science popularization activities; ⑹ Membership is voluntary and membership is free.

Three foreign members: (1) Obtain preferential or free access to academic journals and related materials published by the society; (2) Can be invited to participate in academic conferences hosted in China; (3) Can be invited to participate in international academic conferences organized by the society; (4) Join the membership Voluntary, free to withdraw from membership.

Article 11 Obligations of members:

1. Comply with the association’s charter;

2. Implement the resolutions of the association;

3. Safeguard the honor and legitimate rights and interests of the Association;

4. Support the work of the Association and complete the tasks assigned by the Association;

5. Actively participate in various activities organized by the Association;

Sixth, pay your membership fees on time.

7. Report the situation to the Association and provide relevant information.

Article 12 Members who wish to withdraw from membership should notify the Association in writing and return their membership cards. If a member fails to pay membership fees or participate in the activities of the group for two consecutive years (if a member fails to pay membership fees or does not participate in activities for one year, the society will remind him/her), he will be automatically withdrawn from the membership.

Article 13 Any member who has violated criminal laws or seriously violated the association's charter will be removed from the association through discussion and approval by the standing committee.

Chapter 4: Organizational structure and appointment and removal of responsible persons

Article 14: The highest authority of the Association is the National Member Congress. Its powers are:

1. Formulate the working policies and tasks of the association; 2. Review the work report of the board of directors and the financial report of the society;

3. Formulate and modify Articles of association;

4. Elect and remove directors;

5. Hold academic activities and pass proposals;

6. Decide on termination matters;

7. Decide on other major matters.

Article 15 The National Member Congress must be attended by more than 2/3 of the member representatives, and its resolutions must be passed by more than half of the national member representatives present before they can take effect.

Article 16 The term of each National Member Congress is four years. The meeting can be held in advance or postponed under special circumstances. However, the maximum extension of the term change shall not exceed one year, and must be approved by the competent business department and the registration management authority.

Article 17 The Board of Directors is elected by the National Member Congress through democratic consultation and secret ballot. Candidates for the Board of Directors should be scientific and technological workers who are academically accomplished, have an upright academic style, and are enthusiastic about the work of the society, as well as management workers who are enthusiastic, support the work of the society, and are engaged in the organization of relevant disciplines. The composition of the board of directors should reflect the combination of old, middle-aged and young people, and directors should conscientiously perform their duties. The Board of Directors is the executive body of the National Congress, presides over the daily work of the Association when the National Congress is not in session, and is responsible to the National Congress.

Article 18 The functions and powers of the Board of Directors are:

1. To implement the resolutions of the National Member Congress;

2. To elect and remove the chairman and deputy directors President, Secretary-General, and Executive Director;

Three, prepare to convene the National Member Congress;

Four, report work and financial situation to the National Member Congress;

Five Decide on the establishment of offices, branches, dispatched agencies and entities;

6. Decide on the appointment of deputy secretary-generals and main heads of various institutions; and be responsible for raising funds for the society’s activities; leading the work of various institutions of the Association;

7. Decide on the admission and expulsion of members;

8. Formulate internal management systems; 9. Decide on other major matters.

Article 19 The board of directors must be attended by more than 2/3 of the directors before it can be convened, and its resolutions must be voted by more than 2/3 of the directors present before it can take effect.

Article 20 The Board of Directors shall hold at least one meeting per year, and may also be held by communication in special circumstances.

Article 21 The Board of Directors shall establish a Standing Board of Directors. The Standing Council is elected by the Board of Directors and shall exercise the powers specified in Sections 1, 3, 5, 6, 7 and 8 of Article 18 when the Board of Directors is not in session, and shall be responsible to the Board of Directors (the number of standing directors shall not exceed 1/1 of the number of directors). 3).

Article 22 The Standing Council must be attended by more than 2/3 of the standing directors before it can be convened, and its resolutions must be approved by more than 2/3 of the standing directors present at the meeting to take effect.

Article 23 The Standing Council shall be held twice a year; under special circumstances, it may also be held by communication.

Article 24 The chairman, vice-chairman, secretary-general and standing director of the board of directors must meet the following conditions:

2. Adhere to the party's line, principles and policies, have strong organizational and management capabilities, have good political quality and be an upright person.

Three, have a great influence in the business field of the association, be enthusiastic about the work of the association, and be full of practical spirit;

Fourth, the maximum age of the chairman and vice-chairman shall not exceed 70 65 years old. The maximum age for the Secretary-General shall not exceed 65 years old. The secretary-general is full-time. If the secretary-general is part-time, the society will have a full-time deputy secretary-general.

5. Be in good health and able to work normally;

6. Have not received any organizational sanctions or criminal penalties;

7. Have full capacity for civil conduct.

Article 25 If the chairman, vice-chairman, and secretary-general of the association exceed the maximum age for office, if it is really necessary to succeed, they must be discussed and approved by the board of directors, and reported to the competent business department for review and registration of the society. Only after approval by the management authority can one hold office.

Article 26 The term of office of the Chairman, Vice Chairman and Secretary-General of the Association shall not exceed two terms (each term is 4 years). If the term of office needs to be extended under special circumstances, it must be approved by a vote of more than 2/3 of the members of the National Member Congress, and must be reported to the competent business department for review and approved by the society registration and management authority before taking office.

Article 27 The chairman of the association is the legal representative of the association. If the chairman needs to authorize the vice-chairman or secretary-general to serve as the legal representative due to special circumstances, the decision shall be made by the board of directors or the executive director. Only after approval by the association shall it be reported to the business supervisory unit for review and approved by the society registration and management authority. The legal representative of this association shall not concurrently serve as the legal representative of other organizations.

Article 28 The Chairman of the Association shall exercise the following powers:

1. Convene and preside over the National Member Congress, the Council or the Standing Council;

2. Inspect the implementation of the resolutions of the National Member Congress, the Council or the Standing Council;

3. Sign relevant important documents on behalf of the Association.

Article 29 The Secretary-General of the Association shall exercise the following powers:

1. Preside over the daily work of the office, submit and organize the implementation of the annual work plan of the Council.

2. Coordinate the work of various branches, dispatched offices and entities.

3. Nomination of deputy secretary-general and appointment of principal persons in charge of offices, branches and dispatched agencies.

4. Handle other daily affairs of the society.

Chapter 5 Principles of Asset Management and Usage

Article 30 Sources of funding for the Association:

Appropriations from a government or superior authority;

2. Funding and donations from domestic and foreign units, groups and individuals;

3. Income from activities or services within the approved business scope;

4. Membership dues;

6. Other legal income.

Article 31 The Association will collect membership dues in accordance with relevant national regulations.

Article 32 The funds of the association must be used for the business scope and career development stipulated in this charter, and shall not be allocated among members.

Article 33 The Association shall establish a strict financial management system to ensure that accounting materials are legal, authentic, accurate and complete, report accounts to the treasurer on a regular basis, and implement account disclosure.

Article 34 The Association shall be equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must perform accounting. When accounting personnel are transferred and resign, they must complete the handover procedures with the person who takes over.

Article 35 The association’s asset management must implement the financial management system prescribed by the state and accept the supervision of the National Member Congress and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of auditing agencies. and announce relevant information to the public in an appropriate manner.

Article 36 Before changing the term of office or changing the legal representative, the association must accept the financial audit organized by the society registration and management authority and the business supervisory unit.

Article 37 The assets of this Association shall not be misappropriated, privately divided or misappropriated by any unit or individual.

Article 38 The full-time staff of the association’s offices shall be managed by the Chinese Medical Association according to the nature of their establishment. The society should conduct planned and organized training for the full-time staff of the office, and continuously improve the quality and efficiency of the full-time staff of the office. The society should care about the political and life and other aspects of the treatment of the full-time staff of the office, and their The evaluation of technical professional titles is managed by the Chinese Medical Association and enjoys the same rights as employees of the unit.

Chapter 6 Procedure for Amending the Articles of Association

Article 39: Modification of the Association’s Articles of Association must be approved by the Board of Directors (or Standing Committee) before being reported to the National Member Congress It will be effective only after deliberation and approval.

Article 40 The revised articles of association of this Association must be submitted to the competent business department for review and approval within 15 days after being adopted by the National Member Congress, and shall be reported to the society registration authority for approval before taking effect.

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 41 If the Association has completed its purpose or dissolved itself or needs to cancel due to division, merger or other reasons, the director shall A motion to terminate will be filed.

Article 42 The motion to terminate the association must be voted and approved by the National Member Congress and reported to the business supervisory department for approval.

Article 43 Before the association is terminated, a liquidation organization must be established under the guidance of the business supervisory unit and relevant authorities to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation are allowed.

Article 44 The association will be terminated after the cancellation of registration procedures is completed by the association registration and management authority.

Article 45 The remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association under the supervision of the business supervisory unit and the association registration and management authority and in accordance with relevant national regulations.

Chapter 8 Supplementary Provisions

Article 46 The Articles of Association of the Association were discussed and voted on by the 11th National Member Congress on October 28, 2006.

Article 47 The right to interpret this charter belongs to the Standing Council of the Association.

Article 48 This Article of Association shall take effect from the date of approval by the society registration and management authority.
