Article 1 Name of this group: China Garment Association; English name: China Garment Association; Abbreviation: CNGA.
Article 2 This Association is a non-profit national trade organization voluntarily composed of enterprises, institutions and social organizations engaged in the production, science and technology, education and circulation of clothing, shoes and hats and related clothing, ornaments and raw and auxiliary materials.
Article 3 The purpose of this Association is to revitalize and develop the garment industry in China. Abide by the national constitution, laws, regulations and national policies, and abide by social morality; Under the condition of socialist market economy, according to the general task of economic construction of the party and the state, combined with the situation of the industry, actively publicize and implement the relevant principles, policies and decrees of the party and the state; Give play to the role of bridge and link between members and the government, and be a good staff and assistant of government departments; Reflect the situation of the industry and the wishes and requirements of members, safeguard the legitimate rights and interests of the industry and enterprises, and provide various services to members wholeheartedly.
Article 4 This Association has been approved and registered by the Ministry of Civil Affairs, and its business is guided by the State-owned Assets Supervision and Administration Commission of the State Council and subject to the supervision and administration of the Ministry of Civil Affairs.
Article 5 The meeting place of this Association is located in Beijing.
Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
(a) to study the development direction and strategy of the industry, accept the entrustment of government departments, and formulate the medium and long-term development plan of the industry; Put forward suggestions on the technical and economic policies and industrial legislation of the whole industry to government departments and assist the government in their implementation.
(two) to formulate rules and regulations, establish industry self-discipline mechanism, and promote equal competition among enterprises. Promote the construction and performance of corporate social responsibility in the industry, improve the overall quality of the industry and safeguard the overall interests of the industry.
(3) promoting scientific and technological innovation in the industry. Develop, popularize and apply new technologies, new processes, new products and new materials in the industry, and promote the industrialization of scientific research results.
(four) to assist the relevant government departments to do a good job in the preparation, revision and dissemination of industry technical, economic and management standards. Entrusted by the relevant government departments, to carry out product quality supervision, certification and identification of scientific and technological achievements.
(five) to carry out the investigation of the basic situation of the industry and the analysis and forecast of the economic operation of the industry. Authorized by the relevant government departments, conduct industry statistics, collect, analyze and publish industry information, provide a basis for formulating industry development plans and industrial policies, and provide services for enterprise management decisions; Promote the construction of industry information network, carry out information exchange activities, and edit and publish industry periodicals.
(six) to study and analyze the international economic situation, pay attention to the development trend of international trade, establish and improve the industrial protection mechanism of this industry, and coordinate the settlement of trade disputes; Carry out exchanges and cooperation with foreign industries, and participate in and organize international professional conferences and activities.
(7) Providing industrial consulting services. Accept the entrustment, conduct preliminary demonstration on the advanced nature, economy and feasibility of major investment and transformation development projects in the industry, and participate in project responsibility supervision; Assist relevant government departments in government procurement and bidding of clothing products.
(eight) to help enterprises explore domestic and foreign markets and cultivate professional markets. Organize the exchange of business, production, management, talents, technology and consulting services between the industry and upstream and downstream enterprises; Hold professional exhibitions and activities of clothing at home and abroad; Approved by the relevant government departments to carry out industry recommendation and commendation activities; Vigorously promote the construction of independent brands and improve the competitiveness of independent brands in domestic and foreign markets.
(nine) to carry out the training and promotion of all kinds of professionals in the industry.
(ten) to undertake other work matters authorized or entrusted by relevant state departments, other social organizations and member units.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members.
Article 8 A member applying to join this Association must meet the following requirements:
(a) Acknowledge and support the Articles of Association;
(2) Having the will to join this Association;
(3) It has a certain influence in the clothing industry.
Enterprises, institutions, local associations or relevant social organizations engaged in production, science and technology, education, circulation and other activities in this industry and obtaining business licenses according to law may apply to become unit members if they recognize the articles of association and pay their membership fees on time. The legal representative of the unit member is the official representative of the association.
Experts, scholars, entrepreneurs, engineering technicians and celebrities who are engaged in the production, management, science and technology, education and circulation of this industry and have made great contributions to this industry may apply to become individual members by recognizing the articles of association of this association.
Article 9 The procedures for joining the club are as follows:
(1) submitting an application for membership;
(two) the Council authorized the secretariat to review the membership and award the membership certificate;
(3) The Secretariat regularly reports the membership to the Council.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) have the right to suggest, criticize and supervise the work of this association;
(3) Give priority to various activities organized by the Association, obtain relevant books and materials published by the Association, and enjoy various consulting services provided by the Association;
(four) to put forward the requirements for investigation and help to improve the work in production, technology, operation and management;
(5) Members' scientific research achievements, papers, monographs and other information can be published in the publications of the Association first;
(6) have the right to ask the association to protect their legitimate rights and interests from infringement, and have the right to join the association voluntarily and leave the association freely.
Article 11 Members shall perform the following obligations:
(a) abide by the articles of association and rules and regulations, implement the resolutions of the association, and safeguard the reputation and legitimate rights and interests of the association;
(two) to undertake the work entrusted by the association, actively participate in various activities organized by the association, and provide relevant information and materials for the association;
(three) under the organization of the association, it is obliged to assist other members to solve problems in production technology, management, scientific and technological development, personnel training, etc.;
(four) to pay membership fees in accordance with the provisions;
(5) Individual members only undertake (1), (2) and (3) obligations.
Article 12 When a member withdraws from the meeting, he shall notify the secretariat of the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year without any reason, it will be regarded as automatic withdrawal.
Thirteenth member units should withdraw from the meeting for one of the following reasons:
(a) to suspend business or change production;
(2) bankruptcy;
(3) It has been revoked according to law;
(four) serious violation of the articles of association, rules and regulations, refused to correct after being advised, and was removed by the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the member congress, and its functions and powers are as follows:
(1) To formulate and amend the articles of association of the company;
(2) Electing and dismissing directors;
(three) to review the work report and financial report of the Council, and to formulate and revise the payment standards of membership fees;
(4) Deciding to terminate.
(five) to decide on the working principles and tasks of the Association, and to discuss and decide on other major issues.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the term change due to special circumstances, it shall be voted by the board of directors, submitted to the State-owned Assets Supervision and Administration Commission of the State Council for examination and approval, and submitted to the Ministry of Civil Affairs for approval, but the extension of the term change shall not exceed one year at the longest.
Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, executive vice president, vice president, secretary general and executive director;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb and recall members;
(6) Deciding to establish offices (secretariats), branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the institutions of the Association to carry out their work;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.
Article 21 The Association shall set up a standing council, which shall be elected by the council, and shall exercise the functions and powers specified in items 1, 4, 6, 7, 8, 9 and 10 of Article 18 when the council is not in session, and shall be responsible to the council (the number of standing council members shall not exceed 0.3 of the number of 65,438+directors).
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.
Article 24 The president, executive vice president, vice president and secretary general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the clothing industry;
(3) The president, executive vice-president, vice-president and secretary-general are at least 70 years old, and the secretary-general is full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 25 The president, executive vice-president, vice-president and secretary-general of this Association shall be approved by the Council, reported to the State-owned Assets Supervision and Administration Commission of the State Council for review and approved by the Ministry of Civil Affairs before taking up their posts.
Article 26 The term of office of the President, Executive Vice President, Vice President and Secretary General of this Association is five years. The term of office of the president, executive vice president, vice president and secretary general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than 2/3 members of the members' congress, reported to the the State Council SASAC for review, and approved by the Ministry of Civil Affairs before taking office.
Article 27 The executive vice president of the Association is the legal representative of the Association and signs relevant important documents on behalf of the Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council. According to the needs of the work, the president may authorize the executive vice president to exercise the above functions and powers.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;
(two) to coordinate the work of branches (professional committees), representative institutions and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of the Secretariat, branches (professional committees), representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of the secretariat, branches (professional committees), representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Thirtieth sources of funds of this Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31 the association collects membership fees in accordance with relevant state regulations.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Association shall be equipped with accountants with professional qualifications; Accounting personnel shall not concurrently serve as cashiers; Accounting personnel must conduct accounting and exercise accounting supervision; When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 36 Before the association changes its legal representative, it must accept the financial audit organized by the Ministry of Civil Affairs and the State-owned Assets Supervision and Administration Commission of the State Council.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.
Article 40 Any amendment to the articles of association of this Association shall take effect within 05 days after it is approved by the members' congress, the State-owned Assets Supervision and Administration Commission of the State Council and the Ministry of Civil Affairs.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 42 The motion to terminate this Association must be voted by the members' congress and submitted to the State-owned Assets Supervision and Administration Commission of the State Council for examination and approval.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the State-owned Assets Supervision and Administration Commission of the State Council to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 This Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the Ministry of Civil Affairs and the State-owned Assets Supervision and Administration Commission of the State Council in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the members' congress on April 29, 2008.
Article 47 The right to interpret the Articles of Association belongs to the Standing Council.
Article 48 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
