Contents of Cooperation In the area designated by Party B, Party B authorizes Party A to distribute related products (hereinafter referred to as "agency products") that are copyrighted by Party B or developed or operated within the scope of Party B's rights. Party A accepts the entrustment of Party B to sell, publicize and plan the market of the agent products; Party B focuses on product design and development. Two. Geographical restrictions This agreement is valid only in this region (hereinafter referred to as "local"). With the written consent of Party B, Party A can negotiate with agents in other regions to carry out sales activities without geographical restrictions. Three. Cost and share: 1. Agency fee: Party A will transfer the agency fee (RMB) to Party B's account within days from the date of signing the contract; Party B shall provide accurate and effective bank account number. 2. Periodic Report Party A can provide Party B with a complete report according to Party B's requirements, explaining the sales quantity, general situation, total sales and user information of Party A's products in the last billing cycle, and listing the total sales discount and net sales. In addition, Party B shall be informed of all activities to promote consumption. V. Distributor Party A may set up a distributor in the area defined in this agreement. However, without the written consent of Party B, Party A shall not sell the agency products to wholesalers, retailers and traders who may use the agency products as promotional gifts for the purpose of matching their tying activities. The rights and responsibilities of both sides of intransitive verbs 1. Party A agrees and confirms that it undertakes the following main obligations and rights: A. If it is found that others infringe the intellectual property rights and other related rights of the agent products, Party A shall truthfully disclose it to Party B, and may, according to the authorization of Party B, pursue the responsibility of the infringer on behalf of Party B, or prevent the occurrence of similar acts according to Party B's requirements. E. Party A shall not copy or modify Party B's products without authorization. If the copyright of Party B is lost as a result, Party B has the right to terminate the agreement and pursue the legal responsibility of Party A.. 2. Obligations and rights of Party B: A. Party B owns the copyright and ownership of the agency products provided. Party B shall guarantee the copyright legality of all the contents provided by it, ensure that the contents do not violate the laws, regulations and social ethics of China, and ensure that all disputes and losses arising therefrom shall be borne by Party B. B. As the copyright owner and owner of the agency products, Party B shall provide Party A with the assistance needed to solve copyright disputes when Party A has copyright disputes with other agents. E. Party B may adjust the price appropriately according to the market situation and notify Party A in writing. F. Party B shall provide sales materials and information to promote the agency products according to Party A's needs, assist Party A to obtain necessary product descriptions, and provide publicity materials to Party A free of charge. 3. Party A and Party B have the same responsibilities and obligations: A.
